JST462 Corporate Governance (8)
AbstractThe subject examines various models of corporate governance, how organisational standards are established and maintained, self-regulation, the role of legal frameworks and corporate criminal liability. The external factors impacting upon corporate governance are explored, including the impact of class actions, consumer activism, environmental responsibilities, the role of the media, global pressure against corruption and the effect of technological change central to effective corporate governance in the ethical climate of the organisation. The issues of institutional culture, autonomy, accountability, individual and organisational responsibilities, for driving and institutionalising ethical change. The rights of individuals and employees to privacy and confidentiality are considered along with whistleblowing and the obligations upon organisations to disclose information relevant to their corporate governance responsibilities. |
